"Endorphyn™ Web", "we", "us" refers to the digital services business operated by Shivansh Chawla, India. "Client", "you" refers to the individual or business purchasing services.
We provide website design, development, digital marketing consultation, and related services as described in the relevant package listing or written proposal. Scope is defined at the time of purchase. Changes outside the agreed scope are subject to additional fees, agreed in writing before work proceeds.
Stated delivery timelines begin from the date the deposit is confirmed AND all required information has been provided by the client. Delays caused by missing client inputs extend timelines on a day-for-day basis and do not constitute a breach by us. Actual delivery time depends on project complexity and client requirements; we confirm a specific timeline at kick-off.
Each project includes the number of revision rounds stated in the package. A revision round means one consolidated list of changes, not iterative back-and-forth. Additional revision rounds are billed at $75/hour (minimum 1 hour), agreed in writing before work begins.
Upon receipt of full and final payment, all custom deliverables (HTML, CSS, JavaScript, written copy we authored, licensed images used in the project) are assigned to the client. The client receives full ownership with no ongoing licence fees owed to us.
We retain the right to display completed work in our portfolio and marketing materials unless the client requests confidentiality in writing at project completion. Third-party licences (fonts, stock images, plugins) remain subject to their respective terms. Until full payment is received, all deliverables remain the property of Endorphyn™ Web.
Build workflow: We build under temporary credentials, transfer all access to the client on final payment, and remove our own access entirely. Care Plan clients receive collaborator access only, never owner credentials.
To the fullest extent permitted by applicable law, Endorphyn™ Web shall not be liable for: loss of revenue, profits, or business; loss or corruption of data; indirect, incidental, consequential, or punitive damages; third-party service outages (hosting, analytics, form processors, booking platforms); or any harm arising from content the client provided. Our total aggregate liability is limited to the total amount paid by the client for the specific project that gave rise to the claim.
Monthly Care Plans are billed in advance. Either party may cancel with 30 days' written notice. The Care Plan covers minor content updates and small fixes within the original build scope. It does not cover security services, hosting infrastructure, third-party platform issues, new features, redesigns, or additional integrations; these are quoted separately. We never use "protect your site" language because security services are not part of this plan.
We treat all client business information as confidential and will not share it with third parties except as required to deliver the services (form processors, hosting platforms) or as required by applicable law. This obligation survives termination.
We warrant that deliverables will be built with reasonable skill and care, and will function as described on current major browsers at the time of delivery. We make no warranty regarding search engine rankings, advertising performance, or business outcomes; these depend on many factors outside our control.
Either party may terminate an active project with written notice. In the event of client-initiated termination after work has commenced, the deposit is forfeited. In the event of our failure to perform, the limited remedy described in the Refund Policy applies.
This Agreement is governed by the laws of India. Any disputes arising from or related to this Agreement shall be subject to the exclusive jurisdiction of the courts of New Delhi, India. For international clients, you agree that Indian law governs this Agreement and you submit to jurisdiction in New Delhi for any legal proceedings.
We may update these Terms. Active clients will be notified of material changes by email. Continued use of our services after notice constitutes acceptance.
You warrant that all content, images, logos, text, video, and other materials you provide for use in the project do not infringe any third-party intellectual property rights, are not defamatory, and comply with applicable law. You agree to indemnify and hold harmless Endorphyn™ Web, its owner, employees, and contractors against any claims, damages, losses, or costs (including legal fees) arising from materials you have provided or from your breach of this Agreement.
Endorphyn™ Web makes no guarantee of specific business outcomes, search engine rankings, revenue, conversions, or traffic resulting from delivered work. Website performance depends on factors outside Endorphyn™ Web's control, including but not limited to hosting reliability, third-party platform changes, market conditions, the quality and quantity of content you publish, and your own marketing efforts.
If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions continue in full force and effect.
Payment is accepted via Razorpay secure payment links or international bank transfer. Full payment instructions are provided privately by email after project confirmation. Endorphyn™ Web does not publish bank account details on this website. Endorphyn™ Web does not store card data: all card payments are processed through Razorpay's PCI-DSS-compliant hosted checkout. Never send payment based on bank details received from an email you did not initiate: always verify via shivansh@endorphynweb.com.
The Digital Audit ($519, one-time) is a written report identifying issues, gaps, and loopholes we observe in your website, advertising accounts, and/or local search presence based on our professional review of the information and access you provide, and based on our experience and industry knowledge at the time of the audit. It is delivered within 5 business days of payment confirmation, after a written agreement has been sent and you have confirmed and paid the fee in full in advance.
The Audit does not guarantee any specific business outcome, ranking, traffic, conversion, or revenue result. Your business's growth depends on how you implement our findings, your market conditions, your competitors, and other factors entirely within your control and outside ours, not on the existence of the report itself. The Audit reflects a point-in-time review and may not capture changes that occur after the review is completed.
Our total aggregate liability arising from the Audit is limited to the $519 fee paid. The Audit report is prepared solely for your internal business use and is not to be relied upon by any third party. The Audit fee is non-refundable once your signed agreement and payment are confirmed, as described in our Refund Policy. Nothing in this clause excludes liability for fraud or wilful misconduct.
