Terms of Service

Last updated: 1 June 2025 · These terms govern all services provided by Endorphyn Web.

1. Parties

"Endorphyn Web", "we", "us" refers to the digital services business operated by Shivansh Chawla, Gurugram, Haryana, India. "Client", "you" refers to the individual or business purchasing services.

2. Services

We provide website design, development, digital marketing consultation, and related services as described in the relevant package listing or written proposal. Scope is defined at the time of purchase. Changes outside the agreed scope are subject to additional fees, agreed in writing before work proceeds.

3. Payment

  • 50% of the total fee is required upfront before any work begins.
  • The remaining 50% is due upon your approval of the final deliverable, before file transfer or go-live.
  • Payment accepted via Wise (bank transfer) or Payoneer. All invoices are issued in USD.
  • No work begins until the deposit is confirmed received.
  • Overdue balances (unpaid beyond 7 days of invoice date) may result in work being paused.

4. Delivery

Stated delivery timelines begin from the date the deposit is confirmed AND all required content, assets, and information have been provided by the client. Delays caused by missing client inputs extend timelines on a day-for-day basis and do not constitute a breach by us.

5. Revisions

Each project includes one structured revision round after the first preview is delivered. A revision round means one consolidated list of changes — not iterative back-and-forth. Additional revision rounds are billed at $75/hour (minimum 1 hour), agreed in writing before work begins.

6. Intellectual property and ownership

Upon receipt of full and final payment, all custom deliverables (HTML, CSS, JavaScript, written copy we authored, licensed images used in the project) are assigned to the client. The client receives full ownership with no ongoing licence fees owed to us.

We retain the right to display completed work in our portfolio and marketing materials unless the client requests confidentiality in writing at the time of project completion. Third-party licences (fonts, stock images, plugins, third-party tools) remain subject to their respective licence terms — we will advise you of any applicable restrictions.

Until full payment is received, all deliverables remain the property of Endorphyn Web. We reserve the right to remove or disable access to any website or asset in the event of non-payment.

7. Client responsibilities

  • Provide accurate, complete business information, content, and required assets promptly.
  • Ensure you have the legal right to use any content (text, images, logos, trademarks) you supply to us.
  • Review and approve or provide feedback on deliverables in a timely manner.
  • Maintain all hosting, domain, and third-party account credentials after handover.
  • Not use our deliverables for unlawful, deceptive, or harmful purposes.

8. Limitation of liability

To the fullest extent permitted by applicable law, Endorphyn Web shall not be liable for: loss of revenue, profits, or business; loss or corruption of data; indirect, incidental, consequential, or punitive damages of any kind; third-party service outages (including hosting, analytics, form processors, or booking platforms); or any harm arising from content the client provided. Our total aggregate liability in any event is limited to the total amount paid by the client for the specific project or service that gave rise to the claim.

9. Care Plan

Monthly Care Plans are billed in advance. Either party may cancel with 30 days' written notice. The Care Plan covers reasonable content updates and technical monitoring within the scope agreed at sign-up; new features, redesigns, or additional integrations are quoted separately. We make no guarantee of uptime for third-party hosting platforms.

10. Confidentiality

We treat all client business information as confidential and will not share it with third parties except as required to deliver the services (e.g. form processors, hosting platforms) or as required by applicable law. This obligation survives termination of the engagement.

11. Warranties and disclaimers

We warrant that deliverables will be built with reasonable skill and care, and will function as described at the time of delivery on current major browsers. We make no warranty regarding search engine rankings, advertising performance, or business outcomes resulting from use of our deliverables — these depend on many factors outside our control.

12. Termination

Either party may terminate an active project with written notice. In the event of client-initiated termination after work has commenced, the deposit is forfeited. In the event of our failure to perform, the limited remedy described in the Refund Policy applies. Termination does not affect rights or obligations that accrued before the termination date.

13. Governing law

These Terms are governed by the laws of India. The parties agree to attempt good-faith resolution of disputes before pursuing formal proceedings. Unresolved disputes shall be submitted to binding arbitration in Gurugram, Haryana, India, under the Arbitration and Conciliation Act, 1996. Nothing prevents either party from seeking urgent injunctive relief from a court of competent jurisdiction.

14. Changes to terms

We may update these Terms. Active clients will be notified of material changes by email. Continued use of our services after notice of changes constitutes acceptance.
